INTRODUCTION

These Terms relate to the delivery of the Coaches for Good Affordable Coach Training Programme ("the Programme"). Please read the terms carefully as they set out your rights. We (Pamela Rigden trading as Coaches for Good) are based in the UK and our business terms and conditions are governed by Scots law. Our address is 9 The Cross, West Wemyss, Kirkcaldy, KY1 4SU.

Our Service Level Agreement can be found at [LINK] and forms part of these terms. All references to us, we, our or Pamela Rigden T/A Coaches for Good are references to Coaches for Good. All references to you or your relate to the purchaser of the Programme, referred to in these terms as the Trainee.

If you have any questions please ask before purchasing. In proceeding with your purchase you are accepting these terms in full without variation.

 

1. THE PROGRAMME

1.1 By accepting these terms and conditions the Trainee understands and accepts they are entering into a training arrangement (the "Programme") for a period of 12 months from the date of the first live training session.

1.2 The Programme is an ICF-aligned coach training programme. It is for those beginning their coaching career and those already coaching who wish to train formally. All training delivered within the Programme is delivered remotely online in a group setting with other Trainees.

1.3 Our agreement begins on the date we send the Trainee's welcome email and continues until the Programme has been delivered, unless terminated earlier in accordance with these terms.

 

2. THE SERVICES

The services we deliver are:

2.1.1 24 hours of live training;

2.1.2 10 hours of mentor coaching, being 7 group sessions and 3 individual sessions; and

2.1.3 10 hours of Group Reflective Practice.

In addition, the Programme requires the Trainee to complete 10 hours of coaching practice with our Charity Partners and 10 hours of self-directed reflection.

2.2 The aim of the Programme is to equip the Trainee with the skills, knowledge and evidence required to coach professionally.

2.3 In delivering the Services Coaches for Good agrees to provide them with reasonable care and skill.

2.4 The Trainee accepts and understands that the Programme is a group programme and that training, mentor coaching and Group Reflective Practice will be delivered alongside other Trainees in a group setting.

2.5 Whilst it is intended that the substantive training will be delivered by Pamela Rigden, in delivering the Services Coaches for Good may engage the services of employees, contractors and other third-party providers as necessary, including mentor coaches and reflective practice facilitators.

2.6 The Services will be delivered via:

2.6.1 live online training sessions in accordance with the schedule provided to the Trainee's group before the Programme begins;

2.6.2 group and individual mentor coaching sessions;

2.6.3 Group Reflective Practice sessions;

2.6.4 access to a library of training tools and resources; and

2.6.5 community support (currently hosted on Kajabi).

2.7 The Trainee is granted access to the training material in the Coaches for Good online resource library (Kajabi) on enrolment.

2.8 The training material includes a range of written and video learning materials supporting the Programme. The library is not intended to be complete and will be added to during the Programme.

Live sessions are recorded and the recordings are uploaded to our learning platform following each session. Recordings are shared only with members of the Trainee's own group, with the exception of the Trauma Informed Coaching and Post Traumatic Growth sessions and the Business Growth Training, recordings of which are made available to all Trainees.

2.9 Any remotely delivered services will take place via Zoom or another online meeting facility.

2.10 The Trainee understands and accepts it is the Trainee's responsibility to attend all sessions provided at the agreed time. Coaches for Good can only record programme hours where the Trainee attends and engages in the full session.

2.11 In the event we are unable to deliver a scheduled session, Coaches for Good will make all reasonable attempts to provide the Trainee with as much notice as possible and shall ensure that the session is rescheduled to a mutually convenient time.

2.12 In the event the Trainee is unable to attend a session or fails to attend a scheduled session, the Trainee shall forfeit the right to that session, subject to the make-up provisions at clause 4.1.1.

2.13 Individual mentor coaching sessions are booked by the Trainee directly with their mentor coach. Should the Trainee need to cancel or rearrange an individual session, at least 48 hours' notice must be given. Where less than 48 hours' notice is given, the session will be treated as taken, and the Trainee will need to pay to book a further session at our affordable rate (currently £95, subject to increase from 1 April 2027).

2.14 The main channel for communication and support during the Programme is our online community (currently hosted on Kajabi), including our weekly Q&A post, where questions can be answered for the benefit of the whole group. Trainees should raise questions there in the first instance. Email at team@coachesforgood.co.uk is available for private or personal matters. We aim to respond to private emails within 48 hours where the query arrives during business hours, and some queries may be more fully answered in the next session.

2.15 Should the Trainee require any further support than is provided within the Programme as standard, such support will be outside of these terms and conditions and additional terms and fees shall be agreed. Additional mentor coaching is available at £95 per hour, subject to increase from 1 April 2027.

2.16 If the Trainee is invited to attend additional in-person meetings, events, retreats or similar then the Trainee shall be responsible for arranging and funding their travel and accommodation to participate in such activities.

2.17 Should there be any additional events or meetings which are not included in the price of the Programme but that the Trainee may benefit from, Coaches for Good will clearly communicate any additional fees in advance.

2.18 Coaches for Good reserves the right to make amendments, revisions or changes to the Programme or cancel, amend, change or reschedule any part of the Programme as is reasonably required, provided the Programme continues to match the description given to the Trainee. Coaches for Good shall not be liable to the Trainee for any reasonable changes that are made.

 

3. TRAINEE'S OBLIGATIONS

Participation

3.1 By accepting these terms the Trainee confirms that they are over 18, are legally capable of entering into a binding contract, and that all information they have provided to Coaches for Good, including information which is personal and/or confidential, is true, correct, up to date and complete.

3.2 The Trainee acknowledges that it is their responsibility to attend sessions as scheduled, to participate fully, and to communicate openly and honestly. The Trainee will also be required to complete the self-directed elements of the Programme, being 10 hours of coaching practice and 10 hours of reflection, and doing so is their responsibility.

3.3 The Trainee agrees to work in accordance with the ICF Code of Ethics throughout the Programme and in any coaching they carry out.

Conduct within the group

3.4 The Trainee acknowledges that the Programme is delivered in a group. They agree to conduct themselves in a reasonable and responsible manner at all times and not to act in a way which may cause offence, distress or alarm to anyone delivering or taking part in the Programme.

3.5 In the event the Trainee acts in a way which is disruptive, or which causes offence, distress or alarm, they will be excluded from the session. Following any such exclusion we will arrange a meeting with the Trainee to discuss the matter and to determine whether they will be excluded permanently. Such a decision is at Coaches for Good's absolute discretion.

3.6 The Trainee agrees to keep confidential all information shared by other participants, and by any person they coach during the Programme.

3.7 Given the group nature of the Programme, the Trainee accepts that anything they share will be shared across the group. Coaches for Good has no control over, and no liability for, information shared by others in a group setting.

Wellbeing and personal responsibility

3.8 The Trainee understands that the Programme is training and is not a substitute for counselling or therapy. Coach training involves reflecting on personal experience and practising with other trainees, and parts of it may be emotionally demanding. By enrolling, the Trainee confirms that they have considered whether the Programme is right for them at this time and have taken advice where they felt it necessary. If the Trainee is receiving medical or psychological support, they agree to inform Coaches for Good where it is relevant to their participation.

3.9 The Trainee is responsible for managing their own wellbeing during the Programme and agrees to tell us if they feel unsafe or uncomfortable with any part of it.

3.10 The Trainee accepts that they are solely responsible for the decisions they make and the actions they take as a result of anything reviewed, discussed or fed back to them during the Programme, including how they respond to feedback on their coaching.

3.11 The Trainee agrees and understands that participation in the Programme does not guarantee that they will complete it, pass the Live Performance Evaluation, or be awarded a certificate of completion. The Programme provides training, mentor coaching, Group Reflective Practice, feedback and support, but the standard the Trainee reaches depends on the practice and reflection they put in, and that is their responsibility.

Business Growth training

3.12 Where the Trainee takes part in our Business Growth training, they accept that they may be required to review and make decisions concerning their business, career and finances, and that any such reviews, subsequent decisions, implementation and action will be their sole responsibility. Nothing in that training constitutes financial, legal or tax advice.

Raising concerns

3.13 In the event the Trainee has any concerns as to the delivery of the Programme, or their participation in it, they agree to notify Coaches for Good of such concerns by email as soon as possible. We will use all reasonable efforts to work with the Trainee to resolve them. Our Grievance Policy is at [LINK].

3.14 The Trainee understands that, once accepted, these terms and conditions can only be cancelled or terminated in accordance with the relevant provisions contained within them, and that refunds only apply as set out in Clause 6.

Non-solicitation

3.15 During the Programme and for 12 months afterwards, the Trainee agrees not to canvass, promote or advertise their own products or services to other Trainees, or to any person delivering the Programme, without Coaches for Good's express consent, such consent not to be unreasonably withheld.

3.16 During the Programme and for 12 months afterwards, the Trainee agrees not to approach any of our Charity Partners to offer coaching, training or any other service outside the Programme, without Coaches for Good's express consent, such consent not to be unreasonably withheld.

Indemnity

3.17 The Trainee agrees to indemnify Coaches for Good against any claim, loss, damage or reasonable cost we incur as a result of:

3.17.1 the Trainee's breach of these terms and conditions or of the Service Level Agreement;

3.17.2 the Trainee's coaching of any Charity Coaching Client, save to the extent that the claim arises from our own act or omission; or

3.17.3 any act or omission by the Trainee which is negligent, dishonest, unlawful, or in breach of the ICF Code of Ethics.

Coaching with our Charity Partners

3.18 Completing the Programme requires the Trainee to deliver 10 hours of coaching through our Charity Partners. Those coached may be members of a Charity Partner's leadership team, staff or volunteers, or in some cases the organisation's service users. Each person coached in this way is referred to in these terms as a Charity Coaching Client.

3.19 By accepting these terms the Trainee also agrees to the Service Level Agreement at [LINK], which sets out the standards we and our Charity Partners expect of the Trainee in that work, and which forms part of these terms.

3.20 Before their first session with a Charity Coaching Client the Trainee must:

3.20.1 hold professional indemnity insurance appropriate to coaching, with cover of at least £1 million;

3.20.2 be registered with the Information Commissioner's Office, or have completed the ICO's self-assessment confirming that registration is not required in their case; and

3.20.3 provide us with evidence of both.

3.21 We will not place the Trainee with a Charity Partner until the requirements at clause 3.20 have been met. Any delay is the Trainee's responsibility and may affect their ability to complete the Programme within the period set out at clause 4.6.

3.22 The Trainee is responsible for the cost of their insurance and any ICO registration fee. These are not included in the Fee.

 

4. COMPLETING THE PROGRAMME

4.1 To complete the Programme and receive a certificate of completion, the Trainee must:

4.1.1 complete all 24 hours of live training. At least 20 of those hours must be attended live. The Trainee may complete up to 4 hours, and no more, by watching the recording and submitting the associated work within 4 weeks of the session missed. If the Trainee misses more than 4 hours of live training they will not be able to complete the Programme with their group, and we will discuss with them whether they can join a later group;

4.1.2 attend all 7 group mentor coaching sessions and all 3 hours of individual mentor coaching;

4.1.3 complete 10 hours of coaching with our Charity Partners, in accordance with the Service Level Agreement;

4.1.4 upload 10 recorded coaching sessions, each with an anonymised transcript, to their evidence log. The Trainee must update their log after each session and before their next one;

4.1.5 complete 10 hours of self-directed reflection, recorded in the evidence log we provide;

4.1.6 attend all 10 hours of Group Reflective Practice. These are participatory sessions and must be attended live;

4.1.7 pass the Live Performance Evaluation; and

4.1.8 record and maintain their coaching hours in the evidence log we provide, and submit it to us on request.

4.2 We will provide written feedback on 5 of the Trainee's recorded coaching sessions. Feedback is developmental, and is intended to be discussed with their mentor coach and applied in subsequent sessions.

4.3 The Live Performance Evaluation is assessed against the ICF ACC Minimum Skills Requirements. The Fee covers one attempt. If the Trainee is unsuccessful, or wishes to attempt it again for any reason, a further fee of £100 is payable for each subsequent attempt, up to 3 attempts in total.

4.4 Additional mentor coaching is available at £95 per hour, subject to increase from 1 April 2027, should the Trainee wish to have further support at any point during the Programme.

4.5 The decision as to whether the Trainee has met the requirements of clause 4.1 is ours, acting reasonably. If the Trainee disagrees with our decision they may appeal in writing to team@coachesforgood.co.uk, and we will deal with the appeal in accordance with our Grievance Policy.

4.6 The Trainee has 12 months from the date of their first live training session to complete the Programme. If they have not completed within that period their access to the Programme will end and no refund will be due. We may, at our discretion, offer a place on a later group or additional support, for which a fee may apply.

4.7 Completing the Programme does not entitle the Trainee to an ICF credential. The ICF is an independent body and any application is assessed against its own criteria. We make no guarantee that an application will be successful and no refund will be due if it is not.

4.8 Where the Trainee does not complete the Programme, our Partial Completion Policy at [LINK] sets out what recognition, if any, we can give for the parts completed.

 

5. FEES AND LATE PAYMENTS

5.1 We provide promotional pricing at certain points of the year. The Trainee's price will be fixed at the date of purchase: £2,500 ("the Fee"). Coaches for Good is not currently VAT registered, and no VAT is charged on the Fee.

5.2 The Fee is due immediately on execution of these terms and conditions, unless an instalment plan has been selected at the point of sale.

5.3 Payment of the Fee can be made in full or by instalments.

5.4 Payment shall be made by the Trainee as follows:

5.4.1 in full, a single payment of £2,500; or

5.4.2 in instalments, either five monthly payments of £500 or ten monthly payments of £250, to be paid on the same date each month, with the first payment due when the Trainee registers for the Programme.

5.5 The Fee shall be paid via Kajabi/Stripe.

5.6 The Fee reflects the design, delivery and availability of the Programme and is not calculated by reference to the Trainee's actual attendance or use. The Trainee shall not be entitled to any credit or deduction for sessions not attended or materials not accessed, except as set out in Clause 6.

5.7 In accepting these terms, the Trainee agrees to pay the entire Fee. Except as set out in Clause 6, there will be no refund, discount or option for part-payment of services if the Trainee decides not to proceed with the full Programme. Should the Trainee withdraw, the remaining balance will become payable with immediate effect.

5.8 The Fee does not include the cost of any additional mentor coaching, any further attempt at the Live Performance Evaluation, the Trainee's professional indemnity insurance, any ICO registration fee, or any ICF application or membership fee.

5.9 If the Trainee does not pay any amount properly due under these terms and conditions, Coaches for Good will charge a fixed administrative fee of £250 for each late payment and reserves the right to suspend delivery of the Services, including access to sessions and materials, until all outstanding payments have been made.

5.10 In addition to the late payment fee set out above, Coaches for Good may charge interest on the overdue amount at the rate of 8% per annum above the Bank of England base rate from time to time, which interest will accrue daily until the date of actual payment and be compounded at the end of each calendar month.

5.11 Should any payments become more than 14 days overdue, this shall amount to a material breach of the contract and Coaches for Good reserves the right to terminate these terms and conditions and seek recovery of all outstanding fees immediately. The Trainee shall lose their place on the Programme and be responsible for any and all costs and fees, including legal fees, associated with the recovery of unpaid or outstanding fees.

5.12 We reserve the right to review and adjust the Fee for future groups. Any change will not affect a Trainee who has already enrolled and received a welcome email.

 

6. REFUNDS AND CANCELLATION

6.1 The Programme comprises live training, mentor coaching and Group Reflective Practice, which are services, together with online learning materials, which are digital content. Different cancellation rules apply to each, and both are set out below.

6.2 Where the Trainee is purchasing as a consumer, the Trainee has 14 days from the date we send the welcome email in which to cancel. To cancel, email us at team@coachesforgood.co.uk. No reason need be given.

6.3 If the Trainee cancels within those 14 days and we have not begun delivering the Programme and the Trainee has not accessed any of the online learning materials, we will refund the Fee in full within 14 days of receiving notice.

6.4 Our groups begin on set dates, which the Trainee chooses from when enrolling. By choosing a group that begins within the 14 day cancellation period, the Trainee agrees that the Programme starts on that date, before the cancellation period has ended. If the Trainee cancels within the 14 days after the Programme has begun, we will refund the Fee less a proportionate amount reflecting the elements of the Programme already delivered to them up to the date we receive notice.

6.5 By enrolling, the Trainee also consents to being given immediate access to the online learning materials, and acknowledges that once those materials have been accessed the right to cancel in respect of them is lost. Where the Trainee cancels within the 14 days having accessed the materials, a proportionate amount reflecting that access will also be deducted from any refund.

6.6 After the 14 day period has ended, the Trainee may end this agreement at any time by giving written notice, but the Fee remains payable in full and no refund will be given.

6.7 Should the Trainee wish to cancel their place on the Programme and stop attending sessions after the 14 day period, they shall be permitted to do so but must pay the balance of the Fee, should any proportion be outstanding, within 14 days of giving notice.

6.8 Nothing in this Clause affects the Trainee's statutory rights.

Concerns and chargebacks

6.9 If the Trainee has any concern about the Programme, they agree to raise it with us by following our Complaint / Grievance Policy LINK, and to allow us a reasonable opportunity to investigate and resolve it, before taking any other step, including stopping a payment or making a chargeback claim.

6.10 If the Trainee makes a chargeback claim without first raising the concern with us, that will be a breach of these terms and conditions, and the Trainee agrees to reimburse us for any charges or fees imposed on us as a result, together with our reasonable costs of dealing with the matter.

 

7. TERMINATION

7.1 Until the Programme has been delivered, these terms and conditions may only be terminated by either party providing written notice in the following circumstances:

7.1.1 either party commits a material breach and, if it is a breach capable of remedy, the party in breach fails to remedy it within 14 days of being notified of the breach by the other party; or

7.1.2 either party commits a material breach which is incapable of being remedied.

7.2 Coaches for Good will be entitled to limit the services, suspend, and/or terminate the agreement without refund of any Fee, whether paid or remaining due, if we reasonably determine that the Trainee:

7.2.1 is becoming disengaged or disruptive, or is impairing the participation or progress of other Trainees or the delivery of the Services. Examples of such behaviour include, but are not limited to, displaying a lack of interest in the services, repeatedly missing sessions without reasonable justification, failing to positively contribute to discussions during sessions or other contact, repeatedly ignoring or failing to respond to emails or other messages, or communicating in a way which is abusive or intended to offend any Trainee, trainer or member of staff;

7.2.2 is failing to follow or abide by any of these terms and conditions, the Service Level Agreement, or any other terms or guidelines as may be agreed, whether such action constitutes a material breach or not; or

7.2.3 has acted in a way which we reasonably consider to be in breach of the ICF Code of Ethics.

7.3 Upon termination for any reason, the Trainee's access to all services, any private groups, and any other online resources will be removed, unless expressly agreed otherwise. Coaches for Good will not be liable to the Trainee for any claims relating to the removal of that access.

7.4 We may terminate these terms and conditions if we are unable to continue delivering the Programme. In that event we will refund the proportion of the Fee relating to the parts of the Programme not delivered.

7.5 Upon termination, any Fee or other monies owed by the Trainee become immediately due and payable, and any clauses which by their nature are intended to survive termination shall continue in force.

 

8. CONFIDENTIALITY, INTELLECTUAL PROPERTY AND DATA PROTECTION

8.1 To maximise the results of the Programme the Trainee accepts that they will be encouraged to disclose personal and/or confidential information. Coaches for Good respects the value of such information and shall not, either directly or indirectly, communicate or disclose, make available to, or use for our benefit or the benefit of any other person or entity, the Trainee's ideas, know-how, business practices, concepts and techniques, plans, trade secrets, and other confidential and/or proprietary information (collectively, "Confidential Information") that the Trainee may disclose to us or that may be disclosed as part of the provision of the services.

8.2 Confidential Information excludes any information that:

8.2.1 was already known to Coaches for Good before being provided with that information by the Trainee;

8.2.2 is already accessible in the public domain;

8.2.3 is provided to Coaches for Good by a third party separately and without any breach of these terms; or

8.2.4 is produced, developed or collated by Coaches for Good independently of the Trainee and without any breach of these terms.

8.3 In the event information is provided to Coaches for Good which causes us to fear that the Trainee, or a Charity Coaching Client, is at risk of danger to themselves or others, then we will be permitted to disclose such information as is necessary to the appropriate authorities or for the protection of the person concerned or others.

8.4 The Trainee should be aware, unless they expressly request otherwise, that information provided to one individual within Coaches for Good will be shared with others as appropriate. Mailboxes, including social media inboxes, will be accessible by multiple people across Coaches for Good.

8.5 This clause will not apply in the event Coaches for Good is subject to a relevant court order or other form of legal or statutory order requiring disclosure.

8.6 By entering into these terms and conditions the Trainee agrees and undertakes:

8.6.1 not to infringe any of Coaches for Good's copyrights, patents, trademarks, trade secrets or other intellectual property rights;

8.6.2 that any Confidential Information disclosed by Coaches for Good is confidential and proprietary and belongs solely and exclusively to us;

8.6.3 not to disclose such Confidential Information to any other person or use it in any manner other than in discussion during Programme sessions;

8.6.4 that all materials, information and any data provided by Coaches for Good are our confidential and proprietary intellectual property and belong solely and exclusively to us, and may only be used by the Trainee as expressly authorised;

8.6.5 that the reproduction, distribution and/or sale of any information or materials provided during provision of the Services, or at any time thereafter, by anyone but Coaches for Good is strictly prohibited. The Trainee agrees that in the event of any breach of these obligations then damages, loss or irreparable harm may arise and that in such circumstances Coaches for Good will be entitled to seek relief, including injunctive relief; and

8.6.6 to preserve and protect the Confidential Information of other Programme participants and of Charity Coaching Clients, and not to make any disclosures relating to information shared by third parties.

8.7 No recording of any live training session, group mentoring session, individual mentor coaching session or group reflective practice session is permitted without our express consent. This includes the use of any third-party recording, transcription or AI notetaking tool. Trainees may not admit any such tool to a session. We provide our own recordings and AI-generated summaries of sessions, which are made available to Trainees.

8.8 The parties agree that in relation to any information, whether confidential or not, that is shared between them, they shall each be individually responsible for complying with all relevant data protection laws and legislation.

8.9 Any information or data provided by the Trainee, including Confidential Information, will be maintained by Coaches for Good and stored, accessed and processed in accordance with recognised data protection legislation. Full details of how we process personal data are set out in our Privacy Statement at [LINK].

8.10 As part of seeking and holding ICF accreditation, we are required to share certain information with the ICF, being the Trainee's name, email address, enrolment date and completion date. We do this on the basis of the consent the Trainee provides at enrolment, in the form the ICF requires. Full details of how we handle personal data are set out in our Privacy Statement.

8.11 Both parties agree to take appropriate steps to keep all information safe and secure and to protect against loss and destruction, including accidental, and any unlawful or unauthorised processing.

8.12 Both parties agree to provide a copy of all information held upon receipt of a proper and reasonable data request. Any such request shall be dealt with within a reasonable time.

8.13 All documentation and information provided to Coaches for Good during the course of the Programme will be retained in accordance with relevant retention guidance for a period of no less than 6 years.

8.14 The Trainee should be aware that recordings of group sessions, within which they may feature, will be available to others within their group for the duration of the Programme and afterwards as part of ongoing access to resources. Recordings of the Trauma Informed Coaching and Post Traumatic Growth sessions and of the Business Growth Training are made available to all Trainees, and not only to the Trainee's own group.

8.15 In circumstances where the Trainee provides a testimonial, written or video, they provide authority and permission for Coaches for Good to use that testimonial in the manner we see fit, including public advertising and marketing, unless and until permission is withdrawn by the Trainee in writing.

8.16 As part of the delivery of the services Coaches for Good will provide certain materials and resources under licence. These materials shall include, but not be limited to, Programme handouts, workbooks, materials and resources. Coaches for Good shall own all methodologies, systems and processes delivered within the Programme, notwithstanding which trainer, mentor coach or supervisor has delivered the session.

8.17 Coaches for Good grants to the Trainee a personal, limited, non-transferable, non-exclusive, revocable licence to access and use the materials, resources and methodologies provided as part of the Programme solely for the Trainee's own learning and coaching practice and for the purposes intended by these terms and conditions.

8.18 The Trainee must not use any of the materials or resources provided by Coaches for Good for:

8.18.1 any commercial purpose or benefit without first obtaining our express written permission and relevant licence if applicable, including the creation of the Trainee's own training programme or course;

8.18.2 any unlawful purposes, or any purpose which would cause harm or distress to another person or damage to our business or reputation.

8.19 The obligations set out within this Clause 8 shall survive the termination of these terms and conditions.

 

9. LIABILITY

9.1 Coaches for Good has made every effort to accurately represent the Programme and the Services. Any testimonials and/or examples of results experienced are not intended to represent or guarantee that anyone will achieve the same or similar results. Each individual's success depends on many factors, including their background, dedication, desire and motivation. Coaches for Good makes no guarantee, representation or warranty as to the outcome the Trainee may experience in connection with the Services provided.

9.2 Coaches for Good will not be liable to the Trainee for any indirect, consequential or special damages.

9.3 From time to time Coaches for Good may refer to, introduce or utilise the services of experts and advisors. We shall not be liable for any of those services and make no recommendations as to their suitability for the Trainee.

9.4 None of the Services shall be construed as medical, legal or financial advice and the Trainee should seek input from third party professionals should additional advice be required.

9.5 In the event damages are incurred by the Trainee as a result of Coaches for Good's default or violation of any of these terms and conditions, our entire liability is limited to the amount paid by the Trainee to Coaches for Good as at the time the loss is sustained.

9.6 During the term of these terms and conditions and at any time thereafter, the Trainee agrees to take no action which is intended, or would reasonably be expected, to harm Coaches for Good, our agents, employees, contractors, or experts, or their reputation, or which would reasonably be expected to lead to unwanted or unfavourable publicity.

9.7 In the event a dispute arises in connection with these terms and conditions and the provision of the Services which is incapable of being resolved by mutual consent, then the parties agree to submit the matter for mediation by an independent mediator. In the event a resolution is still not possible following mediation then legal action shall be commenced.

9.8 The parties agree that they have adequate insurance cover to meet any liabilities that may arise in connection with these terms and conditions.

9.9 Nothing in these terms and conditions shall limit or exclude liability for death or personal injury resulting from negligence, fraud or fraudulent misrepresentation, nor shall it exclude any liabilities that may not be excluded under applicable law.

9.10 Nothing in these terms and conditions seeks to exclude or limit the Trainee's legal rights as a consumer, where applicable.

 

10. NOTICE

10.1 Where reference in these terms and conditions is made to the provision of a notice then any such notice shall be validly served if sent by email, or first-class post to the address of the other party as set out in these terms and conditions, and shall be deemed served as follows:

10.1.1 if sent by email, upon receipt of a valid delivery notification, if prior to 5pm UK time, or at 9am the following business day;

10.1.2 if by post, on the second business day after posting.

10.2 The Trainee must ensure that their contact information is kept up to date and any change of address or email address is communicated within 7 days.

 

11. GENERAL

11.1 The failure of either party to actively enforce any provision of these terms and conditions shall not prevent that party from subsequently seeking to enforce any term or obligation, and any such failure shall not constitute a waiver, diminution or limitation of any right.

11.2 In the event any provision of these terms and conditions is deemed to be invalid or unenforceable for any reason then that provision shall be struck out and the remaining provisions shall remain valid and enforceable.

11.3 This is the entire agreement between the parties, together with the Service Level Agreement, our Privacy Statement and the policies referred to in these terms, and supersedes all other negotiations, drafts, correspondence and discussions prior to execution.

11.4 Every effort will be made to carry out these terms and conditions and provide the Services, but Coaches for Good shall not be liable for any delay or failure in the provision of the Services should we be prevented or delayed by reason of an act of God, strike, war, riots, lock outs, fire, epidemic, flood, accident, delays in transit, any act or omission of a telecommunications officer or third party supplier of services, or any other circumstances beyond our control. In such circumstances time of delivery of Services shall be extended until a reasonable time after the event preventing or interfering with due execution, and under no circumstances will Coaches for Good be liable for any loss or damage suffered by the Trainee as a result.

11.5 Coaches for Good acknowledges the importance of electronic communications to the delivery of the Programme and agrees to use all reasonable endeavours to provide reasonable contingency provisions to limit any impact or delay which may be caused to the provision of the Services by delay or failure of telecommunications services.

11.6 These terms and conditions shall be governed by the law of Scotland. The parties submit to the exclusive jurisdiction of the courts of Scotland.

11.7 The Trainee agrees that no other representations have been made by Coaches for Good to induce them into entering into these terms and conditions, and no modification to these terms shall be effective unless in writing and signed by both parties.

11.8 No person who is not a party to these terms and conditions shall have any right to enforce any of their provisions, whether under the Contract (Third Party Rights) (Scotland) Act 2017 or otherwise.

11.9 The Trainee acknowledges that they have been given sufficient time to seek legal advice prior to entering into these terms and conditions.
